Terms of Use (End‑User License Agreement)

Important: By downloading, installing, or using the Raybae mobile application ("Raybae"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use Raybae.

1. Acknowledgement

This agreement is solely between OneClick Commerce LLC ("Raybae," "we," "our," or "us") and you ("End‑User"). Apple Inc. ("Apple") is not a party to this EULA and bears no responsibility for Raybae or its content. Your use of Raybae must also comply with the Apple Media Services Terms and Conditions (the "Usage Rules") in effect on the Effective Date.

2. Scope of License

We grant you a limited, non‑exclusive, non‑transferable, revocable license to install and use Raybae on Apple‑branded devices that you own or control, strictly as permitted by the Usage Rules. Family Sharing and managed distribution are allowed where enabled.

3. Eligibility & Acceptable Use

Raybae is for personal, non‑commercial use. Keep credentials confidential, provide accurate information, obey all applicable laws, and respect third‑party agreements (e.g., wireless‑data contracts).

4. Health Disclaimer

Raybae provides informational lifestyle guidance only. It is not medical advice, diagnosis, or treatment. Consult a qualified healthcare professional before changing sun‑exposure or skin‑care habits. Use Raybae at your own risk.

5. Maintenance & Support

Raybae alone is responsible for maintenance and support. Apple has no obligation whatsoever to provide any support services.

6. Subscriptions & In‑App Purchases

Raybae offers the following auto‑renewable subscriptions via Apple In‑App Purchase:

Payment is charged to your Apple ID upon purchase confirmation.

Auto‑Renewal: Subscriptions automatically renew for the same period and price unless cancelled at least 24 hours before the end of the current period.

Renewal Charge: Your Apple ID will be charged for renewal within 24 hours prior to the period's end at the price shown above.

Manage / Cancel: Open Settings ▸ Apple ID ▸ Subscriptions to change or cancel at any time.

Free Trials (if offered): Any unused portion of a free‑trial period is forfeited when you purchase a subscription.

We may change prices or offerings with advance notice sent in‑app or by email; continued use after the effective date constitutes acceptance.

7. Warranty & Refund

Except as disallowed by law, Raybae is provided "as is" without warranties of any kind. Your exclusive remedy for any failure to conform to a warranty is to notify Apple for a refund of the purchase price. Apple has no further warranty obligations; any additional claims are Raybae's responsibility.

8. Product Claims

Raybae—not Apple—is responsible for addressing any claims relating to Raybae or your possession and/or use of it, including: (i) product‑liability claims; (ii) failure to meet legal or regulatory requirements; and (iii) claims under consumer‑protection, privacy, or similar laws (including Raybae's use of HealthKit or HomeKit, if applicable).

9. Intellectual‑Property Infringement

If a third party claims that Raybae or your use of it infringes their intellectual‑property rights, Raybae—not Apple—will investigate, defend, settle, and discharge the claim.

10. Export Compliance

You represent that you are not (a) located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," nor (b) listed on any U.S. Government prohibited‑party list.

11. User Content

When you upload content, you grant Raybae a non‑exclusive, worldwide, royalty‑free license to use, display, adapt, and modify that content solely to operate or improve Raybae. Do not upload content that is illegal, offensive, or infringes others' rights.

12. Limitation of Liability

To the fullest extent permitted by law, Raybae and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages arising from or related to Raybae, even if advised of the possibility. Nothing herein excludes liability that cannot be disclaimed under applicable law.

14. Third‑Party Terms

You must comply with all applicable third‑party terms when using Raybae (e.g., your wireless‑data agreement).

15. Termination

We may suspend or terminate your access for breach of these Terms. You may delete your account at any time in‑app. Provisions that by their nature should survive termination (e.g., intellectual‑property rights, disclaimers, limitations of liability) will remain in effect.

16. Third‑Party Beneficiary

Apple and its subsidiaries are third‑party beneficiaries of this EULA and may enforce it against you.

17. Modifications

We may modify these Terms. Material changes will be communicated via in‑app notice or email. Continued use after changes take effect constitutes acceptance.

18. Governing Law & Venue

These Terms are governed by the laws of the State of California, USA, without regard to conflict‑of‑law rules. Exclusive venue for disputes is the state or federal courts located in Los Angeles County, California.

19. Entire Agreement & Severability

These Terms constitute the entire agreement between you and Raybae regarding Raybae. If any provision is held unenforceable, the remainder remains in full force.
